This is the current version. It is also at /terms/. Every version
These terms (AGB) set out how Uncart works for your shop, what each of us does, and what you pay. We wrote them in plain English. If something is unclear, write to hi@uncart.ai.
1. Scope and parties
These terms are the contract between Woomega LLC, trading as Uncart, 2810 N Church St STE 90071, Wilmington, DE 19802, United States ("Uncart", "we"), and the business that installs Uncart for its shop ("your shop", "you").
Uncart serves businesses only. By installing Uncart you confirm that you act for your business, not as a consumer.
These terms apply to every use of Uncart. Your own terms of business do not apply, even if you refer to them.
The Data Processing Agreement is part of these terms. The Privacy Policy explains how Uncart handles personal data.
2. The service
Uncart is an assistant that talks to your shop's customers ("shoppers") on WhatsApp. It offers:
- Basket reminders: a WhatsApp message with a link back to a basket a shopper left, sent only to shoppers who opted in.
- The AI assistant: it answers shoppers' questions on WhatsApp from your shop's data, once you switch it on (section 7).
- Back-in-stock messages: one message to a shopper who asked for it, when a sold-out size or colour is back, once you switch them on.
- Price-drop messages ("Tell me if the price drops"): one message about one product a shopper asked about, when its price drops, once you switch them on.
- Order updates: the order and delivery updates a shopper opted in to.
- The dashboard: where you see conversations, the messages sent, the orders you are billed for and the consent records, change your settings, and pause all sending.
Messages go out from your shop's own WhatsApp Business number, in your shop's name. If your shop has no WhatsApp number of its own, Uncart may let it send from Uncart's own WhatsApp number instead, once Uncart has approved your shop's name. The first message of each conversation, and every reminder, then names your shop and Uncart. Order updates are not sent from Uncart's number yet.
To check that Uncart works, 1 in 10 shoppers who opt in are in a test group and don't get the later reminder. They still get anything they asked for.
We keep improving Uncart, so features can change. We will tell you before we remove a feature your shop uses.
3. Your duties
- Opt-ins: your shop may message only shoppers who opted in, or who wrote to it first. Use Uncart's own opt-in, and don't mark shoppers as opted in in any other way. Your shop's privacy notice tells shoppers that you use Uncart for WhatsApp messages.
- Your shop's data: keep your products, prices, stock, delivery, payment and returns terms and your shop's policies accurate and up to date. The assistant and the messages use them as they are.
- Theme setup: switch on Uncart's opt-in in your theme editor, check it and save it, and keep it on your live theme. If the back-in-stock form doesn't show by itself, place its block. Leave in place what the install adds to your shop.
- WhatsApp: if you use your own number, keep your WhatsApp Business account in good standing and follow Meta's WhatsApp Business terms and policies.
- Your accounts: give dashboard access only to people who need it, and keep sign-ins secure.
- Lawful use: don't use Uncart to send anything unlawful or misleading, or to message people who didn't ask to hear from you.
- Competing products: don't use Uncart, what it produces, or what you learn about how it works, to build or train a product that competes with Uncart.
4. What you can't sell or send through Uncart
Uncart sends your shop's messages on WhatsApp, so Meta's rules for businesses on WhatsApp apply to what your shop sells and sends through Uncart.
- Meta's policies: follow the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy, on your own number and on Uncart's.
- Restricted products: these policies don't allow some products to be sold on WhatsApp, for example alcohol, tobacco and vapes, weapons and ammunition, drugs, adult products and real-money gambling. This list gives examples only: Meta's policies decide.
- Uncart's own number: if your shop's products fall in a restricted category, your shop can't send from Uncart's own WhatsApp number. One shop's messages there can put the number at risk for every shop on it. Uncart may refuse your shop the use of its number, or pause your shop there (section 9).
- No spam: message only shoppers who opted in through Uncart's own opt-in (section 3), or who wrote to your shop first. Don't upload or message bought, rented or scraped contact lists.
5. Fees
You pay 15% of the orders placed within 3 days of a shopper tapping a link in a message from Uncart (a reminder, a basket link, a link the assistant shared, a back-in-stock message, or a price-drop message), at their value excluding tax and shipping. The pricing page shows an example.
- If a shopper taps more than one link, the last tap counts. Each order is billed once, and each Uncart link bills at most one order.
- An order whose only tie to Uncart is the shopper's customer account is not billed. A message that was only delivered or read, with no tap, does not count.
- An order is final 30 days after it was placed. A refund within those 30 days is taken off, also one that reaches Uncart after the invoice (credited on the next invoice). A refund or cancellation after that changes nothing.
- There is no setup fee, no monthly fee and no fee for messages.
- Invoices are monthly, in euros. Each month is invoiced once every order in it is final. For now Uncart bills only orders in euros; orders in another currency are not billed.
- An invoice under €10 is not sent: the amount is added to the next one, and invoiced anyway after three months, or when you uninstall Uncart.
- Shops on Shopify pay through their Shopify bill: you approve Uncart's charges in Shopify once, up to a monthly cap, and Shopify charges each month's fee with your Shopify bill. Uncart never charges more than the cap; what is over it is not charged. A month in which Uncart's charges were not approved in Shopify is not charged. A refund recorded after a month was charged is taken off your next charge. When you uninstall, Shopify ends Uncart's charges; what your last months owe is invoiced to you outside Shopify once they are final, and refund credit left is paid back to you.
- Other shops: Stripe, Uncart's payment provider, charges your payment method automatically when the invoice is made.
- Fees do not include VAT. Where the reverse charge applies, you account for the VAT.
Querying an invoice. Your dashboard's Billing page lists every order you are billed for, by your own order number, with the link it came through. If an order shouldn't count, or an invoice looks wrong, write to hi@uncart.ai with the order number or the month. An order we agree should not count is credited on your next invoice.
6. WhatsApp costs
Uncart pays the WhatsApp fees for the messages it sends and answers for your shop, Meta's and those of Uncart's WhatsApp partner. They are covered by Uncart's fee: you are not billed for them, and you get no bill from Meta for them.
7. The AI assistant
- You decide whether the assistant answers your shoppers: switch it on or off in your dashboard's Settings at any time. While it is off, your team answers from the dashboard.
- It answers from your shop's data: product texts, specs and photos, your size guide, stock, prices, delivery, payment and returns terms, and your shop's rules. Prices, stock and delivery times are filled in from that data.
- Its first reply in a conversation says it is an AI. Every reply is checked before it is sent, and a reply that might invent stock, prices or discounts, or ask for personal data, is replaced by a standard reply.
- It can still make mistakes. When it isn't sure, it tells the shopper and hands the conversation to your team, and your team can take over any conversation in the dashboard. Look at its answers from time to time, and tell us about a wrong one.
- It doesn't profile shoppers or make decisions about them.
8. Data protection
- For your shoppers' personal data, your shop is the controller and Uncart is your processor. Uncart processes it only on your instructions, under the Data Processing Agreement (Article 28 GDPR).
- Where your shop sends from Uncart's own WhatsApp number, Uncart is the controller of the data it needs for those messages: the shopper's number, their consent and STOP, their messages on Uncart's number, and the basket or product they wrote about. Your shop stays the controller of its own shop data, such as orders and customer accounts. Each of us answers shoppers' requests for the data it holds, and passes on the other's.
- For your own data as a merchant (your account, sign-ins and billing), Uncart is the controller, as the Privacy Policy explains.
9. Availability
We work to keep Uncart running at all times, but we do not promise that Uncart runs without interruption or errors. Maintenance, and problems at WhatsApp, Meta, Shopify, our hosting or the internet, can stop or delay messages. We tell you in advance about planned work that stops sending, where we can.
Uncart may pause sending for a shop where its messages put shoppers or a WhatsApp number at risk. On Uncart's own number this happens automatically when many shoppers write STOP soon after a reminder, or many messages fail. We tell you why in your dashboard.
10. Liability
- Each of us is liable without limit for damage caused intentionally or through gross negligence, for injury to life, body or health, and wherever the law does not allow liability to be limited.
- Otherwise, each of us is liable only for damage that is typical for this kind of contract and was foreseeable when the contract was made, and in total for no more than the fees the shop paid Uncart in the 12 months before the event that caused the damage.
- These limits also apply to the people who work for each of us.
11. Term and termination
There is no minimum term. The contract starts when you install Uncart and runs until one of us ends it.
- You can end it at any time by uninstalling Uncart from your shop's admin, or by email to hi@uncart.ai. Uncart can end it at any time by email to your shop.
- When you uninstall, Uncart stops sending for your shop at once and cancels every message still waiting. If the contract ends by email, Uncart does the same as soon as it has the email.
- Orders placed within 3 days of a tap before the end are still billed once they are final, and an amount carried forward is invoiced with the last invoice.
- Your WhatsApp number stays yours. Uncart forgets its access to it.
- Before you uninstall, you can download your consent records from the dashboard.
- 48 hours after an uninstall, Shopify asks Uncart to erase your shop's data, and Uncart erases what it holds for your shop within 30 days; copies in backups are gone within 7 days after that. If the contract ends by email, ask us in the email and we erase it the same way. Uncart keeps only what the Privacy Policy lists as kept: the record that a shopper wrote STOP (24 months, so they are never messaged again), proof of consent and of each deletion, without the number (3 years), and billing records, as tax law requires (up to 10 years).
12. Changes to these terms
We may change these terms. We tell you about a change by email or in your dashboard at least 30 days before it applies. If you don't agree, you can end the contract before then (section 11). If you keep using Uncart after that date, the new terms apply.
13. Governing law
These terms are governed by the laws of the State of Delaware, United States.
